ASSIGNMENT QUESTION
Adam Jerry and Anna are each 33% share holders in Alpha Ltd a business that manufactures design furniture.
Adam and Jerry who are the company’s directors each receive a large salary. Anna who is currently working as a lecturer in law has been promised by Adam and Jerry that she will join the board of directors after the end of the academic year. Hence in Summer Anna approaches her fellow shareholders in order to take up her promised role as a director of Alpha Ltd. How ever Adam and Jerry have changed their minds and are refusing her request arguing that the company is performing well and that to have another director on the board would disrupt the business operations and result in lower profits. In addition to this Adam and Jerry have decided to stop paying any dividends. Finally they have also turned down a potentially lucrative contract to sell furniture to a large retailer in China.
